Rhode Island Business Name Reservation

The business name can be reserved for the period of 120 days and can not be transferred. However, the name reservation can be transferred to somebody else during the holding period.

Rhode Island Business Name Requirement

Rhode Island Secretary of State has mandated certain requirements which you must keep in mind while selecting a business name.

The business name must be unique and distinguishable from any existing business entity name registered with Secretary of State. Also any difference in grammar, similarly sounding business name, or using stop words does not make the business name unique and it will lead to the name being rejected.

For example following names are not distinguishable:

  • Justin Plumber LLC vs The Justin Plumber LLC
  • Mango Farm LLC vs Mango Farms LLC
  • Jake & Mary Corporation vs Jake and Mary Corporation

Required suffix in the business name:

  • For Corporations:
    Must contain either “Corporation”, “Incorporated”, “Company”, “Limited” or an abbreviation of one of such words.
  • For LLC
    Must contain either “Limited Liability Company”, “LLC” or “L.L.C.”
    Low-profit limited liability company name must end with “Low-Profit Limited Liability Company,” “L3C” or “l3c”

Prohibited words:

Certain words such as ‘Bank’, ‘trust’, ‘insurance’ etc. are restricted to use.

  1. Open Rhode Island Business Services Online Filing System webpage – Link.
  2. Next click on ‘File New Business Entity‘ link.
  3. Click on ‘Reservation of Entity Name‘ under the type of business entity you have chosen
  4. On the next page, enter the following information:
    • Name to be reserved
    • Name and address of Applicant
    • Filer’s Contact Information
  5. Accept the terms and press the button ‘Click HERE to Submit This Information‘.
  6. On the next page, you can review the data you entered in the previous step.
  7. Click on ‘Accept‘ button.
  8. Finally, make the payment using your credit card.

  2. Fill the form with the requested details.
  3. Include the money order/check/credit card payment.
    Check/money order must be drawn in name of ‘Secretary of State’.
